1. Scope
These Terms govern access to and use of NexCode enterprise messaging, verification, OTP, dashboard, API and related support services. By using the services, the customer agrees to these Terms and any applicable order form, service description, data processing agreement and acceptable use rules.
2. Services
NexCode enables customers to send transactional and verification messages through channels such as SMS, WhatsApp and RCS. Services may depend on telecom operators, aggregators, messaging platforms and other third-party networks, and availability may vary by country, operator, channel and message type.
3. Customer responsibilities
- Use the services only for lawful business purposes and in accordance with applicable laws.
- Obtain and maintain all required consents, notices and lawful bases for sending messages to recipients.
- Comply with telecom, carrier, WhatsApp, RCS, sender ID, anti-spam, consumer-protection and data-protection rules.
- Keep API credentials secure and promptly notify NexCode of suspected unauthorized access.
- Ensure message content is accurate, lawful and not misleading, harmful, fraudulent or abusive.
4. Prohibited use
The services may not be used for phishing, fraud, malware, harassment, unlawful marketing, spoofing, illegal content, high-risk emergency communications, or any activity that could damage networks, recipients, NexCode, carriers or messaging partners.
5. Delivery and service limitations
NexCode will use commercially reasonable efforts to deliver messages, but delivery is not guaranteed. Delivery can be affected by recipient devices, carrier filtering, number portability, roaming, channel availability, network congestion, regulatory restrictions and third-party platform policies.
6. Fees and payment
Customer agrees to pay all fees set out in the applicable order form or pricing schedule, including usage-based charges, channel fees, carrier fees, taxes and other pass-through costs. Unless otherwise agreed, fees are non-refundable once incurred.
7. Compliance and suspension
NexCode may suspend or restrict the services if required by law, carriers or messaging partners, or if customer activity creates security, compliance, fraud, payment or network-risk concerns. Where reasonable, NexCode will notify the customer and work to resolve the issue.
8. Data protection and confidentiality
Each party must comply with applicable data-protection laws. Where NexCode processes personal data on behalf of the customer, the parties should enter into a data processing agreement. Confidential information must be protected and used only for purposes related to the services.
9. Intellectual property
NexCode and its licensors retain all rights in the services, software, APIs, documentation, designs and technology. Customer retains rights in its own data and message content, subject to the rights needed for NexCode to provide the services.
10. Liability
To the maximum extent permitted by law, NexCode is not liable for indirect, incidental, special, consequential or punitive damages, loss of profits, loss of revenue, loss of goodwill or loss of data. Any aggregate liability should be limited as agreed in the applicable contract or order form.
11. Changes
NexCode may update these Terms to reflect legal, regulatory, technical, security, carrier or business changes. Continued use of the services after an update means the customer accepts the revised Terms.
